By accessing or using any products, services, websites, software, or platforms offered by HavenReach Digital ("HavenReach", "we", "our", or "us"), you (“Client”, “you”, or “your”) agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, and any other applicable agreements or guidelines referenced herein.

2. Services We Provide

HavenReach provides marketing automation tools, lead-generation systems, chatbots, API integrations (e.g., Google Business Profile, Meta, TikTok), CRM syncing, review request automations, and data dashboards tailored for the funeral home and estate planning industries.

We may modify, enhance, or discontinue features at any time with or without notice.

3. User Eligibility

You must be at least 18 years old and legally able to enter into binding contracts to use our services. You represent that all registration and account information you provide is accurate, complete, and kept up to date.

If you’re entering into this agreement on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

4. Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use or security breach.

We reserve the right to suspend or terminate accounts that appear compromised or violate these Terms.

5. Acceptable Use

You agree not to:

Use the services for any unlawful, fraudulent, or harmful purpose

Attempt to reverse engineer, decompile, or access restricted parts of our codebase or infrastructure

Interfere with the operation of our systems or third-party integrations

Upload or transmit malicious code, spam, or content that violates applicable law

Use our platform to collect or distribute personal data without proper consent or legal basis

Violation of this section may result in immediate suspension or termination of your access, without refund.

6. Data & Privacy

Our handling of personal data is governed by our Privacy Policy, which forms part of these Terms. By using our services, you consent to our collection and use of data as described therein.

If you use our services to process third-party data (such as customer or lead information), you affirm that you have a legal basis (e.g., consent or legitimate interest) to do so and that you are the data controller under applicable privacy laws.

7. Payment Terms

Unless otherwise agreed in writing, all services are billed in U.S. dollars. You agree to pay all applicable fees on time and authorize us to charge your payment method on file.

Late payments may result in suspension of service, interest charges, or debt collection. All fees are non-refundable unless explicitly stated.

For monthly or annual subscriptions, you may cancel at any time, but service will remain active through the paid period. There are no prorated refunds for early cancellation unless required by law.

8. Intellectual Property

All content, software, trademarks, designs, and intellectual property made available through HavenReach are owned by us or our licensors. You are granted a limited, non-exclusive, non-transferable license to use the services for your internal business purposes only.

You may not copy, resell, sublicense, or exploit any part of our service without our prior written consent.

You retain all rights to your own content and customer data, but you grant us a limited license to use that data as necessary to provide and improve the service.

9. API & Third-Party Services

Certain features rely on integrations with third-party platforms (e.g., Google, Meta, TikTok, Stripe). Your use of those integrations is subject to the terms and privacy policies of each respective provider.

We are not responsible for outages, changes, or actions by third-party services, nor do we guarantee uptime for third-party APIs.

10. Termination

You may stop using the service at any time. We may suspend or terminate your account if:

You violate these Terms

You fail to pay fees

Your usage poses a security or legal risk

We discontinue the service

Upon termination, all licenses granted to you end immediately. We may retain certain data for legal or operational reasons, as explained in our Privacy Policy.

11. Disclaimers

The services are provided “as is” and “as available,” without warranties of any kind, either express or implied. We do not guarantee uninterrupted access, error-free performance, or particular results.

To the maximum extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the fullest extent permitted by law, HavenReach and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the services, including lost profits, data loss, or business interruption.

Our total liability for any claims under these Terms is limited to the amount you paid to us in the past 12 months.

13. Indemnification

You agree to indemnify and hold harmless HavenReach, its affiliates, officers, agents, and employees from any claims, damages, losses, or liabilities (including legal fees) arising from your violation of these Terms, your use of the service, or your processing of third-party data through our platform.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

Any disputes shall be resolved in the courts located in San Diego County, California, unless otherwise required by law.

15. Modifications to Terms

We may modify these Terms from time to time. If changes are material, we will notify you via email or through the service. Continued use of the service after changes go into effect constitutes acceptance of the new Terms.
